Services we perform for you are:

The letter of intent

First, of course, there are strictly legal tasks that are essential in the sales process, such as the letter of intent, also called letter of intent. This is an agreement containing all the outline agreements.

Often this document is binding in nature. The letter of intent also describes the next steps in the sales process. We know exactly what to include in such a letter of intent and whether a more non-committal or more binding form is better suited to your situation.

The confidentiality statement

With a non-disclosure agreement (also known as a non-disclosure agreement ), both parties declare that they will not share company information in the financial or legal field with third parties.

You can compose your own statement on this website.

Hedging risks

Buyers and sellers have all sorts of conditions, rights and obligations that they must meet. It is important to identify these clearly before making a deal.

We help you to properly cover all to legal risks.

Purchase agreements

The final deal must be legally sealed with a clear and solid agreement. In which everything is described correctly, so that you as a buying or selling party will not be faced with any surprises later.

We are happy to take care of this final stage of the buying or selling process for you.

Identify bottlenecks

Transferring a business often involves much more than entrepreneurs initially think. At least, that is our experience. We are therefore happy to think along with you about aspects you may not have thought of.

For example, are there components that are essential to getting your business ready to sell? Are there dealbreakers that you don't foresee yet, but that it would be helpful to anticipate?

We often recognize these types of bottlenecks faster because we have been through the process so many times. Our broad background from corporate law helps.

Forms of financing

A business transfer is ultimately all about the financial aspects, but that goes far beyond figures on sales, costs and profits. It is also important to think about different forms of financing, such as banking versus venture capital.

It is also important to keep in mind the IRS rules for buyers and sellers.
